Special Terms for the Self-Service Offer
1. Purpose and scope
These Special Terms for the Self-Service Offer (“Self-Service Terms”) supplement Galigeo’s General Terms and Conditions of Sale and/or Subscription (“General Terms”). In the event of any inconsistency, these Self-Service Terms shall prevail with respect to the offer subscribed to on a self-service basis through the online subscription page.
The Self-Service offer is a self-service offer designed to enable the Customer to subscribe to, configure and use the software independently, on the basis of the standard documentation made available by Galigeo.
2. Subscription and effective date
The subscription shall take effect on the date and time the Customer confirms the subscription through the online ordering process.
The Customer represents that it has the authority to bind the entity on whose behalf it subscribes.
3. Term – automatic renewal
The subscription is entered into for an initial term of one (1) month.
Unless terminated before the applicable renewal date, the subscription shall automatically renew for successive one (1) month periods on the monthly anniversary date of the subscription, at 00:00 UTC.
Termination shall take effect at the end of the current monthly period. Amounts due for any started period shall remain payable and shall not be refunded on a pro rata basis, except where otherwise required by mandatory law or expressly provided in the General Terms.
4. Conditions of use of the Self-Service offer
The Self-Service offer is provided on an autonomous basis. The Customer shall use the software on the basis of:
the then-current product documentation;
the installation, configuration and use guides published by Galigeo;
the functional, technical and support limitations applicable to the Self-Service offer.
Unless expressly stated otherwise on the offer page or in the General Terms, the Self-Service offer does not include:
tailored business consulting or guidance;
assistance with advanced configuration;
specific integration into the Customer’s information systems;
dedicated training;
or individualized service level commitments.
5. Price – billing – price continuity
The price applicable to the Self-Service subscription is the price displayed on the relevant pricing page on the subscription date.
Provided that the subscription is maintained without interruption, Galigeo guarantees the Customer the continuation of the initial subscription price for successive monthly renewals of the same offer, as long as:
the Customer does not terminate the subscription;
the relevant offer continues to be marketed under substantially similar characteristics; and
no change required by law, regulation, applicable taxation or a third-party distribution channel makes such price continuity impossible.
Any interruption of the subscription, any change of plan, scope, option, currency, distribution channel or tax conditions may result in the application of the price in force on the date of the new subscription or relevant change.
6. Changes to the offer
Galigeo may modify the software, documentation, user interface, minor characteristics of the Self-Service offer and technical prerequisites, in particular in order to improve the service, maintain security, ensure regulatory compliance or evolve the platform.
If Galigeo decides to materially modify the Self-Service offer or discontinue its commercialization, Galigeo shall inform the Customer by any appropriate means within a reasonable period.
7. Standard support
Unless otherwise stated, the Customer shall only benefit from the standard support provided for the Self-Service offer, which may be limited to online documentation, a knowledge base, an FAQ or a standard non-priority support channel.
8. No specific warranty for the Self-Service offer
The Self-Service offer is provided “as is” and subject to availability, within the limits set out in the General Terms and under applicable law.
Subject to mandatory provisions that cannot be excluded, Galigeo provides no specific contractual warranty in connection with the Self-Service offer, including with respect to:
the fitness of the software for the Customer’s particular needs;
uninterrupted operation or the absence of errors or defects;
the achievement of any particular commercial, operational or analytical results;
or compatibility with environments, settings, datasets, extensions or third-party services not expressly validated by Galigeo.
The Customer acknowledges that the Self-Service offer is intended for autonomous use on the basis of standard documentation and that it is the Customer’s responsibility to verify the suitability of the offer for its needs before subscribing.
9. Third-party services and content
The operation of the software may depend on third-party services, platforms, connectors, environments or content. Galigeo shall not be liable for the unavailability, restrictions, changes, technical limitations or decisions of such third parties, nor for any consequences resulting therefrom for the Customer.
10. Termination by Galigeo
Galigeo may suspend or terminate the subscription under the conditions set out in the General Terms, including in the event of:
non-payment;
non-compliant use;
harm to the security or integrity of the service;
or breach of the Customer’s contractual obligations.
11. Contractual hierarchy
These Self-Service Terms supplement the General Terms. For all matters not expressly provided for herein, the General Terms shall remain fully applicable.
